Headquartered in Denver, Colorado and founded in 1999, ViaWest is a privately owned data center, cloud and managed services provider. ViaWest touts itself as being “one of the largest privately owned data center providers in North America” with 32 multi-tenant data center facilities located throughout Colorado, Texas, Oregon, Utah, Arizona, Minnesota, Nevada, Washington State, Virginia, Pennsylvania, Amsterdam, London and Calgary, CA.

In April of 2010 ViaWest was acquired by Oak Hills partners and GI in a $420MM transaction (with a 12.4x multiple). Assuming the 12.4x multiple was of their EBITDA, ViaWest, at their time of sale, had an annual EBITDA of roughly $33MM ($420MM / 12.4). In the 2010 acquisition ViaWest had 1000 customers, with a roughly calculated $33,000 ($33MM / 1000 customer) average annual customer contract value or about $2,750 per month.
On July 31, 2014 Shaw Communications Inc. announced the acquisition of ViaWest, Inc. in a US$1.2 billion transaction. With more than 1,300 customers, ViaWest had an $89MM EBITDA (~13x Q2/14A LQA Adjusted PF EBITDA), which means their average annual customer contract value was $68,462 or about $5,705 per month.
In the difference of four years and 300 additional customers ViaWest doubled their average monthly contract value. Doing the math (300 x Ymonthlycontractvalue + 1000 x $2,750 = $5,705 x 1,300 ; solve for Ymonthlycontractvalue) you get an average monthly contract value of $15,555 for the additional 300 customers that were gained between the 2010 acquisition and the 2014 acquisition.
Something doesn’t add up. At $15,555 per month you get an average annual contract value of $186,660 for each of the 300 new customers – that’s a $56MM increase in revenue! How did they suddenly do that when their sales teams were accustomed to landing $2,750 per month deals? Can you really just flip the switch and double your average monthly contract value?
We’re guessing that the managed IT and cloud services increased the average contract value for existing customers and at the same time larger data center colocation customers were brought on. However, even if additional services increased for all customers a doubling in average monthly contract value is extraordinary and begs the question “How did ViaWest double their average monthly contract value so quickly?”
Furthermore, ViaWest claims a 15 percent compounded annual growth rate (“CAGR”) of revenue and EBITDA between 2010 and 2013. Approximating annual earnings of $50.88MM and giving it a 15 percent CAGR over four years equals $89MM, which means the $50.88MM estimation is about right for their 2010 EBITDA. But it’s about $20MM higher from their 2010 EBITDA estimation of $33MM ($420MM / 12.4 multiple). Some clarification on the numbers from ViaWest would be helpful.
On November 16, 2015 ViaWest announces the $162.5MM acquisition of INetU, a cloud hosting and managed services provider. With this acquisition ViaWest added colocation data center facilities in Pennsylvania and cloud footprints in data centers in Washington State (Equinix), Virginia (Equinix), Amsterdam and London.
